Terms of Sale
These Terms of Sale (“Terms”) govern all purchases of services from SATM Marketing LLC (“Company”, “we”, “us”). By purchasing or subscribing to our services, you (“Client”, “you”) agree to these Terms.

2. Services Covered
These Terms apply to all paid services provided by SATM Marketing LLC, including but not limited to:
Facebook & Instagram Ads management
Campaign setup & optimization
Creative direction for ads
Strategy consulting
Monthly management plans
One-time services (audits, setup, creatives, etc.)
The scope of the service will be described in the proposal, invoice, checkout page, or written agreement.
3. Pricing & Billing
3.1. Service Fees
All prices are listed in USD unless otherwise stated.
Prices may vary depending on service tier, complexity, or scope.
3.2. Ad Spend
Ad spend is not included in service fees.
The Client pays Meta (Facebook/Instagram) directly for advertising costs.
3.3. Billing Cycle
Monthly services renew automatically every 30 days unless canceled according to Section 9.
3.4. Taxes
The Client is responsible for any applicable taxes unless explicitly stated otherwise.
4. Payment Terms
4.1. Upfront Payment
All services must be paid upfront before any work begins unless otherwise agreed in writing.
4.2. Accepted Payment Methods
We accept:
Credit/debit cards
Bank transfers
Stripe / PayPal (if available)
4.3. Late Payments
If payment is late:
Work may be paused until the balance is paid
Late fees may apply
After 7 days, access to services may be suspended
5. No Refund Policy
Due to the nature of digital marketing services, all payments are final and non-refundable.
This includes, but is not limited to:
Setup fees
Monthly management fees
Creative services
Consulting fees
Audits
Work begins immediately once payment is received, and results are influenced by factors outside our control (competition, pricing, product quality, platform changes, etc.). Therefore, no refunds can be provided.
6. Client Responsibilities
The Client agrees to:
Provide required access (Meta Business Manager, website, product feed, etc.)
Ensure landing pages, content, and business operations comply with laws and Meta policies
Maintain an active payment method for ad spend
Respond to requests for assets or approvals in a timely manner
Failure to provide access or materials does not qualify for refunds or credits.
7. Delivery of Services
Services are delivered based on the plan purchased and may include:
Campaign setup
Optimization
Reporting
Creative production
Strategy calls
Turnaround times may vary depending on workload, communication, and project complexity.
8. Performance Disclaimer
SATM Marketing LLC does not guarantee any specific results, including but not limited to:
Sales
Leads
Revenue
Profit
ROAS
Conversion rates
Ad account approval or stability
Advertising performance depends on many external factors beyond our control.
9. Cancellation & Termination
9.1. Monthly Services
Subscriptions renew automatically every 30 days.
To cancel, the Client must provide written notice at least 7 days before the next billing date.
Late cancellations will result in the next billing cycle being charged, with no refund.
9.2. Immediate Termination
SATM Marketing LLC may terminate services immediately if the Client:
Violates platform policies
Uses misleading or illegal content
Fails to pay invoices
Engages in abusive or uncooperative behavior
No refunds will be provided.
10. Changes to Pricing or Services
We reserve the right to modify pricing, features, or policies at any time.
Clients will be notified in advance of major changes when applicable.
11. Intellectual Property
Campaign strategies, optimization frameworks, and internal processes remain the property of SATM Marketing LLC
Creatives designed for the Client may continue to be used by the Client after termination
Client-provided materials (logos, brand assets, content) remain the Client’s property
12. Limitation of Liability
To the maximum extent permitted by law, SATM Marketing LLC is not liable for:
Loss of revenue or profits
Ad account bans or restrictions
Platform outages
Third-party software issues
Indirect or consequential damages
Total liability shall not exceed the amount paid by the Client during the last billing cycle.
13. Governing Law
These Terms are governed by the laws of the State of Colorado.
All disputes shall be resolved exclusively in the courts of Boulder County, Colorado.
